These Terms and Conditions govern your access to and use of our website and any related services, content, or communications provided by Base64 (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Who We Are
Base64 provides marketing and related services, which may include lead generation, advertising, analytics, call tracking, consulting, and related deliverables, depending on your engagement with us.
2. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. By using the Services, you represent that you meet this requirement.
3. Changes to the Services and Terms
We may modify or discontinue any part of the Services at any time. We may also update these Terms from time to time. The “Effective Date” above indicates when these Terms were last updated. Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
4. Communications (Calls, Texts, and Email)
If you provide your phone number or email address, you agree that we may contact you to respond to your inquiry, provide support, and deliver service-related messages.

5. Quotes, Proposals, and Client Engagements
Information on our website is for general informational purposes and is not a binding offer. Any proposal, scope of work, or pricing provided by Base64 is only binding if it is in writing and signed or otherwise formally accepted by authorized parties. Separate agreements (e.g., a Master Services Agreement, Statement of Work, or contract) may apply and will control in the event of a conflict with these Terms.
6. Acceptable Use
You agree not to:
- Use the Services in violation of any law or regulation
- Interfere with or disrupt the Services or servers/networks connected to them
- Attempt to gain unauthorized access to any systems or accounts
- Introduce malware or other harmful code
- Use the Services to transmit unlawful, infringing, defamatory, or abusive material
- Scrape, harvest, or collect information from the Services without permission
- Impersonate another person or misrepresent your affiliation
7. Intellectual Property
The Services, including all content, text, graphics, logos, designs, and software, are owned by or licensed to Base64 and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes.
You may not copy, modify, distribute, sell, or create derivative works from our content without our prior written permission.
8. User Submissions
If you submit information to us (e.g., through forms, emails, or messages), you grant Base64 permission to use that information to respond to you and provide the Services. You represent that you have the right to provide the information and that it does not violate any third-party rights or laws.

The Services may include links to third-party websites or tools. We do not control and are not responsible for third-party content, policies, or practices. Your use of third-party services is at your own risk and may be governed by the third party's terms.

11. Disclaimers
The Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Base64 disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee that the Services will be uninterrupted, secure, or error-free, or that any specific outcomes (including marketing performance, leads, or revenue) will be achieved.
12. Limitation of Liability
To the maximum extent permitted by law, Base64 will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of (or inability to use) the Services, even if we have been advised of the possibility of such damages.
To the maximum extent permitted by law, Base64's total liability for any claim arising out of or relating to the Services will not exceed the greater of: (a) the amount you paid Base64 for the Services in the 3 months before the event giving rise to the claim, or (b) $100.
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
13. Indemnification
You agree to defend, indemnify, and hold harmless Base64 and its owners, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services, (b) your violation of these Terms, or (c) your violation of any law or third-party rights.
14. Termination
We may suspend or terminate your access to the Services at any time if we believe you have violated these Terms or if required to protect the Services, us, or others. Sections that by their nature should survive termination will survive (including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law).
15. Governing Law & Venue
These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law principles. You agree that any dispute arising out of or relating to these Terms or the Services will be brought in the state or federal courts located in Cook County, Illinois, and you consent to their jurisdiction and venue.
16. Dispute Resolution
At our discretion, we may require disputes to be resolved through binding arbitration rather than in court, except where prohibited by law.
17. Severability
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.
18. Entire Agreement
These Terms, together with our Privacy Policy and any additional written agreements you enter into with Base64, constitute the entire agreement between you and Base64 regarding the Services.
